President
He/she shall be elected for a term of two (2) years renewable once unless acclaimed by 100% of the members for the third term.
The President and members of the Executive Council will be jointly responsible to the General Body. In the event of any disagreements in the execution of the policies of the ACNAA, the President shall make the final decision, which shall be binding on all parties concerned. The President, however, shall be required to validate his or her decision either before or as soon as possible after the event by a majority vote of the Executive Council. If the President fails to accomplish such validation, the majority decision of the Executive Council shall prevail. Prior approval by the Executive Council is mandatory for any decision involving financial transactions on behalf of the ACNAA which may result in significant financial consequences for the Association.
Vice President
He/she shall be elected for two (2) years renewable once.
In addition to their primary responsibilities, this role involves assisting the President, President-Elect, Treasurer, and Secretary as needed, following the direction of the President. The individual in this role shall also fulfill the duties of the President in the event of the President’s and President-Elect’s absence or inability to act. Furthermore, they will coordinate international affairs and play a key role in planning meetings and setting the agenda.
Secretary General
He/she shall be elected for a, two (2) year term renewable once.
The individual in this role is responsible for preparing and maintaining the minutes of all meetings, and distributing approved minutes and important communications to the Board of Directors (BOD) and the executive council. They will issue an agenda for all regular and special meetings after consulting with the President. Additionally, they must keep a copy of all official correspondence from and to ACNAA, as well as reports submitted by Committee Chairpersons and the BOD. This role involves keeping an attendance record of all meetings of the Association and serving as the custodian of the Articles of Incorporation, Bylaws, and their Amendments. They are also tasked with filing and preserving all pertinent information regarding projects, programs, and activities of the Association. Lastly, they must ensure that all books, reports, statements, certificates, and other documents and records required by law are properly kept and filed.
Treasurer
He/she shall serve a two (2) year term in office or until a successor is elected.
The individual holding this position is eligible for re-election to a second two-year term in office, with a maximum limit of four consecutive years in office. They will serve as the co-chair of the Finance Committee, which is responsible for preparing the annual budget for approval by the Board of Directors. Additionally, they must ensure that the President and Treasurer are signatories to all accounts opened in the name of the Association.
Their responsibilities also include issuing notices and collecting all dues, depositing these funds in banks or trust companies designated by the General Assembly, and maintaining custody of all accounts, receipts, and disbursements. They are required to furnish an annual financial statement to the members of the Association at the annual business meeting. Moreover, they will perform other duties and exercise other powers incident to the office of the Treasurer as assigned by the President, the Executive Council, or as required by law.
Board of Directors
The Board of Directors (BOD) is responsible for managing the affairs of the Association without direct involvement in day-to-day management. The responsibilities of Board Members include acting as chairpersons of standing committees as appointed or designated. They also provide oversight by monitoring spending, compliance, and progress towards the realization of goals. Additionally, they set long-term goals, objectives, and directions, as well as allocate resources to achieve these objectives.
